Refund & Cancellation Policy

1. Introduction

This Refund & Cancellation Policy (“Policy”) governs the terms under which ShareSaathi (“Company”, “we”, “us”) provides refunds or cancellations to its clients (“Client”, “you”) in connection with the purchase of unlisted and pre-IPO securities facilitated through the ShareSaathi platform. By placing an order with ShareSaathi, you acknowledge that you have read, understood, and agree to be bound by this Policy.

Given the nature of unlisted securities transactions — which involve direct coordination with existing shareholders, legal documentation, and share transfer mechanics — refunds are governed by strict conditions as detailed below. Payments are accepted via UPI or bank transfer (RTGS/NEFT/IMPS). *We do not accept credit card payments.

2. Definitions

  • Token Amount — refers to the advance payment made by the Client to confirm intent to purchase a specified quantity of unlisted shares.
  • Full Payment — means the total transaction value for the agreed quantity of shares, inclusive of brokerage and applicable charges.
  • T+1 Settlement Day — refers to one (1) business day following the date of receipt of Full Payment by ShareSaathi.
  • Order Procurement — means the successful sourcing and blocking of the requested shares from the seller, completed on ShareSaathi’s end.
  • Business Day — means any day other than Saturday, Sunday, or a public holiday in India.

3. Refund Eligibility

3.1 Refund Entitlement — Non-Delivery of Shares

A Client shall be entitled to a full refund of the amount paid, subject to the following cumulative conditions being satisfied:

  • The Client has made Full Payment for the order; AND
  • ShareSaathi fails to transfer the specified securities to the Client’s demat account by the end of the T+1 Settlement Day; AND
  • The delay is not attributable to the Client (e.g., failure to provide correct demat details, pending KYC, or non-cooperation).

3.2 Partial Delivery

In the event that ShareSaathi is only able to deliver a portion of the ordered securities by the T+1 Settlement Day, the Client shall be entitled to a refund of the amount corresponding to the undelivered portion of the securities, calculated on a pro-rata basis.

3.3 Non-Eligibility

Except as explicitly provided in Section 3.1 and 3.2, no refunds shall be issued. Specifically, refunds will not be granted if:

  • The Client changes their mind after procurement or payment.
  • Market price fluctuations occur post-purchase.
  • Market or regulatory conditions beyond ShareSaathi’s reasonable control have caused the delay, including but not limited to SEBI directives, issuer restrictions, or depository downtime.

4. Token Amount Forfeiture Policy

The Token Amount paid by the Client is strictly non-refundable and shall be forfeited under the following circumstances:

4.1 Order Cancellation After Procurement

If the Client cancels the order after ShareSaathi has successfully procured the entire quantity of shares requested by the Client from the seller, the Token Amount shall stand forfeited in full. ShareSaathi’s procurement constitutes a binding commitment on the Company’s part and any cancellation thereafter causes direct financial loss to the Company.

4.2 Failure to Complete Payment

If the Client fails to make the balance payment (Full Payment minus Token Amount) within the timeline communicated by ShareSaathi at the time of booking — after the Company has procured or committed to procuring the entirety of the ordered shares — the Token Amount shall be forfeited without further notice.

In either scenario above, ShareSaathi reserves the right to resell the procured shares to a third party without any obligation or liability to the Client beyond the forfeiture of the Token Amount.

5. Refund Process & Timeline

All refund requests must be made in writing by emailing [email protected], stating the order details and the reason for the refund request. Approved refunds will be processed within five (5) to seven (7) business days from the date of approval. Refunds will be credited back to the original payment source or bank account from which the payment was received.

6. Cancellation of Orders

6.1 Client-Initiated Cancellations

Clients may request order cancellation prior to Order Procurement by contacting [email protected]. If procurement has not occurred, a refund of the Token Amount may be processed, subject to a nominal administrative fee. Once procurement has occurred, cancellations are subject to Section 4 (Forfeiture).

6.2 Company-Initiated Cancellations

ShareSaathi reserves the right to cancel any order at its sole discretion in case of:

  • Inability to procure the requested shares from the market.
  • Technical errors, pricing anomalies, or incorrect information on the platform.
  • Compliance or regulatory issues.

In such events of Company-initiated cancellations, a full refund of all amounts received (including Token Amount) will be processed to the Client.

7. Limitation of Liability

ShareSaathi’s total liability for any claim arising out of or related to this Policy or any transaction shall be strictly limited to the amount actually paid by the Client to ShareSaathi for that specific transaction. In no event shall ShareSaathi be liable for any indirect, incidental, special, or consequential damages, including loss of profit or opportunity.

8. Governing Law & Dispute Resolution

Any dispute arising from this Policy shall first be addressed through ShareSaathi’s internal grievance mechanism. If unresolved within 30 days, disputes shall be subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra, and proceedings shall be conducted in English. This Policy shall be governed by and construed in accordance with the laws of India.

9. Amendments to This Policy

ShareSaathi reserves the right to amend or update this Policy at any time without prior notice. The revised Policy shall be effective upon posting on our website or communication to registered Clients. Continued use of our services after any modification constitutes acceptance of the updated Policy.
