Few unlisted names show the risk of pre-IPO investing as vividly as PharmEasy (API Holdings): its unlisted price fell from a 2021 peak near Rs 665 to single digits after a sharp valuation reset.

The business

API Holdings is the parent behind PharmEasy — e-pharmacy, diagnostics (including its listed subsidiary Thyrocare) and teleconsultation. It is one of India's best-known digital-health brands, but growth came with heavy losses and debt.

The reset — and a reverse-merger route

To repair its balance sheet, PharmEasy raised a large rights issue at a much lower price, which is why the per-share number is now in single digits (a function of the enlarged share count, not a "cheap" signal). In 2026, reports say API Holdings is exploring a public listing via a reverse merger with Thyrocare — which is already listed on the NSE and about 71% owned by API — rather than a conventional IPO. That would take PharmEasy public faster and with less regulatory friction. Nothing is confirmed.

Unlisted price and mechanics

Risks

This is a turnaround, not a compounder: reported returns have been negative, the path to listing (IPO or reverse merger) is unconfirmed, and unlisted paper is illiquid. Look at market cap and financials, not the low rupee price alone.

Disclaimer: Unlisted shares are illiquid and prices are indicative, not exchange-quoted. A listing is never guaranteed. ShareSaathi settles confirmed lots off-market to your demat; this is information, not investment advice.
